Terms of Business for DEB Chartered Accountants

These Terms of Business (the "Agreement") govern the provision of services by DEB Chartered Accountants ("we", "our", or "us") to our clients ("you" or "your"). By engaging our services, you agree to these terms.


1. Scope of Services

We provide the following professional services to our clients:

  • Accounts and Tax Services: Preparation of annual accounts, tax returns, and related compliance services.
  • Bookkeeping & Payroll: Ongoing bookkeeping, payroll processing, and related administrative services.

Each of these services are covered by separate Fixed Fee Agreements as outlined below. For any additional services or work outside the scope of these Fixed Fee Agreements, fees will be discussed and agreed upon with you prior to commencement.


2. Fixed Fee Agreements

Our fixed fees are designed to cover the routine services we provide, including:

  • Preparation and submission of accounts and tax returns.
  • Ongoing bookkeeping services.
  • Payroll processing and related services.

Meetings and telephone advice (within the scope of the agreed service) are inclusive within our fees.

The fees under these Fixed Fee Agreements are based on the agreed scope of work, and payment is to be made via monthly standing orders. You will receive a detailed invoice showing the fixed monthly amount due, and standing orders should be set up to ensure timely payment. These fees will remain in effect for the duration of the agreement unless otherwise agreed upon by both parties.


3. Payment Terms

  • Payments for fixed fee services are due via monthly standing orders, with any balance being paid 14 days from the date of the invoice.
  • The standing order amount is to be set up to be paid on the agreed day of each month.
  • Payments should be made promptly to avoid disruption of services. Failure to pay may result in suspension of services until payment is received.


4. Other Services and Time-Based Fees

For services outside the scope of the Fixed Fee Agreements (such as ad-hoc consultancy, special projects, or work not included in the fixed-fee arrangements), we charge fees based on the time taken to complete the work. Our hourly rates for such additional work will be discussed and agreed upon with you before the work commences. We will provide an estimate of the time and cost involved, and you will have the opportunity to approve or modify the scope before we begin.


5. Meetings and Telephone Advice

As part of our Fixed Fee Agreements, we provide reasonable meetings and telephone advice related to the services covered under the agreement. If additional meetings or extended telephone consultations are required, we will inform you in advance, and these may be charged separately, depending on the nature and duration of the discussion.


6. Review of Fees

Fixed fees may be reviewed periodically, and we reserve the right to adjust fees due to changes in the scope of services, increased complexity of work, or regulatory changes. Any fee adjustments will be communicated to you in advance and will be agreed upon before the new fee becomes effective.


7. Termination of Services

Either party may terminate this agreement by providing written notice to the other party. If the services are terminated before the end of the fixed fee period, we will calculate a pro-rata fee for the work completed up to the date of termination.


8. Liability

We will provide services with reasonable skill and care. However, we do not accept liability for any loss or damage arising from reliance on advice or information provided, except to the extent that liability cannot be excluded by law.


9. Debonair – Making Tax Digital Compliant Bookkeeping Software

Access to our bookkeeping program – Debonair – is provided free of charge providing that a standing order is in place to pay any agreed fees by the last month of your accounting year. If any balance is outstanding then this should be paid within 14 days from the date of the invoice.

As part of your agreement to use the software you agree to produce and retain pdf or printed reports on a monthly basis as protection against any unforeseen data loss caused by Microsoft who host our data. Deb Chartered Accountants accept no liability resulting from the loss of data that has not been reproduced on the monthly reports.


10. Confidentiality

We will keep all your information confidential and will not disclose it to third parties unless required to do so by law or with your prior written consent.


11. Governing Law

This Agreement will be governed by and construed in accordance with the laws of the United Kingdom and any disputes will be subject to the exclusive jurisdiction of the Institute of Chartered Accountants.



12. Acceptance of Terms

By engaging us to provide services, you acknowledge and agree to these Terms of Business. If you have any questions or require further clarification, please do not hesitate to contact us.
